OVERVIEW

This website is operated by WFHS Holdings Inc., an Ontario corporation doing business as Velnorae (“Velnorae,” “we,” “us,” or “our”).

Velnorae offers this website, including the information, products, services and tools available through it, subject to these Terms of Service.

By visiting our website, creating an account, placing an order or otherwise using our services, you agree to these Terms of Service and our Privacy Policy, Shipping Policy, and Return and Refund Policy.

Please read these Terms carefully before using our website. If you do not agree with them, you should not access the website or use our services.

  1. ELIGIBILITY AND ACCEPTABLE USE

You must be at least the age of majority in your province, state or place of residence to make a purchase from Velnorae.

You may not use our website or products for unlawful, fraudulent or unauthorized purposes. You must not transmit malicious code, attempt to interfere with the security or operation of the website, collect information about other users without authorization, or violate any applicable law.

We may suspend or terminate access to our services where we reasonably believe these Terms have been violated.

  1. PRODUCTS AND SERVICES

Velnorae offers fine jewellery, loose gemstones, custom jewellery services and related products.

We make reasonable efforts to accurately present product descriptions, photographs, measurements, weights, colours, materials, gemstone treatments and other relevant information. However:

• Gemstones are natural materials and may contain inclusions, variations and characteristics unique to each stone.

• Colours may appear differently depending on lighting, photography, screen settings and the device being used.

• Measurements, dimensions and carat weights may be subject to minor reasonable tolerances.

• Product images may be enlarged to show detail and may not represent the product’s actual scale.

• Packaging and minor design details may change without materially changing the product.

Any statement concerning gemstone origin, treatment status, metal purity, grading or certification applies only when expressly included in the applicable product description or accompanying documentation.

A laboratory report or certificate is included only when specifically stated. Unless otherwise identified, Velnorae does not represent that the laboratory issuing a report is affiliated with or endorsed by Velnorae.

  1. PRICES, CURRENCY AND TAXES

Unless otherwise stated, prices displayed on the Canadian storefront are in Canadian dollars.

Prices, promotions, product descriptions and availability may change without notice. Applicable taxes and shipping charges will be calculated or disclosed during checkout.

Customers ordering from outside Canada may be responsible for customs duties, import taxes, brokerage charges and other fees imposed by the destination country unless otherwise stated at checkout.

We reserve the right to correct typographical, pricing or product-information errors. If an error affects an order already placed, we will contact the customer and provide the available options, including cancellation and a refund where appropriate.

  1. ORDERS AND ACCEPTANCE

Submitting an order does not guarantee that it has been accepted. An order is accepted after payment has been authorized and we send an order confirmation or begin fulfilling the order.

We may refuse or cancel an order for legitimate reasons, including:

• Product unavailability;

• Incorrect pricing or product information;

• Suspected fraud or unauthorized payment;

• Shipping or legal restrictions;

• Inability to verify order information;

• Quantity limitations; or

• A request that we reasonably cannot fulfil.

If we cancel an order after payment has been captured, the amount charged for the cancelled portion will be refunded to the original payment method.

Customers are responsible for providing complete and accurate billing, shipping and contact information.

  1. PAYMENT

Payments are processed through Shopify and the payment providers displayed during checkout.

By submitting payment information, you confirm that you are authorized to use the selected payment method.

Velnorae is not responsible for delays caused by payment authorization, verification or security review.

  1. SHIPPING AND DELIVERY

Orders may be fulfilled directly by Velnorae or by an approved supplier or fulfilment partner. Products within the same order may therefore arrive in separate packages and at different times.

Processing and delivery periods are estimates and are not guaranteed unless we expressly agree otherwise in writing.

Shipping charges, tracking, delivery estimates, address requirements, customs responsibilities and procedures for delayed, damaged or missing packages are governed by our Shipping Policy.

Nothing in these Terms limits any delivery rights or remedies that cannot legally be excluded.

  1. RETURNS, REFUNDS AND FINAL SALE

Unless an exception is stated in our Return and Refund Policy or required by applicable law, all purchases are final sale.

Velnorae will address products that arrive damaged, defective, incorrect or materially different from their description in accordance with our Return and Refund Policy.

Customers must comply with the notification, evidence and return instructions contained in that policy.

Custom, personalized, altered, resized or specially sourced products and loose gemstones are final sale except where required by law or where the product is damaged, defective, incorrect or materially misdescribed.

Our Return and Refund Policy forms part of these Terms of Service.

  1. CUSTOM JEWELLERY AND SPECIAL ORDERS

Custom jewellery consultations, design services, special sourcing, deposits and production work may be subject to an additional quotation, invoice, design approval or written agreement.

Custom work will not begin until any required deposit has been received and the applicable specifications have been approved.

Deposits may become non-refundable after design work, gemstone sourcing, material purchasing, manufacturing or other agreed work has started.

Sketches, digital renderings and design previews are intended to communicate the proposed design. Minor differences may occur in the finished piece because of gemstone characteristics, material properties, craftsmanship and manufacturing requirements.

Changes requested after design approval may affect the final price and estimated completion date.

Where an individual custom-order agreement conflicts with these Terms, the custom-order agreement will control in relation to that order.

  1. PRODUCT AVAILABILITY

Products may be limited in quantity or available exclusively online.

Unique gemstones and one-of-a-kind jewellery may sell before inventory information has been updated. We do not guarantee that any product will remain available.

We may limit quantities, discontinue products or restrict sales to particular regions or jurisdictions where reasonably necessary.

  1. ACCOUNTS

Customers may have the option to create an account. You are responsible for keeping your login credentials confidential and for activity conducted through your account.

You must provide accurate information and promptly update it when it changes.

Please contact us immediately if you believe your account has been accessed without authorization.

  1. INTELLECTUAL PROPERTY

The Velnorae name, logo, branding, product photographs, graphics, jewellery designs, written content and website presentation are owned by or licensed to WFHS Holdings Inc. and are protected by applicable intellectual-property laws.

The website may be used for personal, non-commercial shopping purposes only.

You may not reproduce, distribute, sell, modify, publish or commercially exploit our content without prior written permission.

Purchasing a Velnorae product does not transfer ownership of our trademarks, photographs, original designs or other intellectual property.

  1. REVIEWS, FEEDBACK AND SUBMISSIONS

If you submit a review, photograph, comment, suggestion or other content, you confirm that you have the right to provide it and that it is accurate, lawful and does not infringe another person’s rights.

You grant WFHS Holdings Inc. a non-exclusive, worldwide and royalty-free licence to use, reproduce and display the submitted content for legitimate business and promotional purposes, subject to applicable privacy laws.

We may remove content that is unlawful, abusive, misleading, infringing or otherwise inappropriate.

  1. THIRD-PARTY SERVICES AND LINKS

Our online store is hosted by Shopify. We may also use third-party providers for payment processing, order fulfilment, shipping, analytics, communications and other business functions.

Third-party websites, applications and services are governed by their own terms and privacy policies.

We are not responsible for third-party content or services outside our reasonable control, except where responsibility cannot legally be excluded.

  1. PERSONAL INFORMATION

Our collection, use and disclosure of personal information are governed by our Privacy Policy.

By using our services, you acknowledge that information may be processed by Shopify and other service providers involved in operating the store, processing payments and fulfilling orders.

  1. DISCLAIMER OF WARRANTIES

We make reasonable efforts to provide accurate information and reliable service. However, to the fullest extent permitted by law, the website and its content are provided on an “as available” basis without warranties that are not expressly stated by us.

We do not guarantee that the website will always be uninterrupted, secure or free from errors.

Nothing in these Terms excludes an express warranty provided in writing or any statutory warranty, consumer guarantee or legal right that cannot be excluded.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Velnorae and WFHS Holdings Inc. will not be responsible for indirect, incidental, special or consequential losses arising from the use of the website or purchase of a product.

Where liability may legally be limited, our total liability concerning a particular purchase will not exceed the amount paid for the product giving rise to the claim.

These limitations do not apply to fraud, wilful misconduct, gross negligence, personal injury caused by negligence, or any liability or consumer right that cannot legally be limited or excluded.

  1. INDEMNIFICATION

You agree to indemnify and hold Velnorae, WFHS Holdings Inc. and our service providers harmless from third-party claims resulting from your unlawful use of the website, violation of these Terms or infringement of another person’s rights.

This section does not require you to indemnify us for our own negligence, misconduct or violation of law.

  1. GOVERNING LAW

These Terms and transactions with Velnorae are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Nothing in this section deprives a consumer of mandatory protections provided by the laws of their province, state or country of residence.

  1. SEVERABILITY

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will continue in effect.

  1. NO WAIVER

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

  1. CHANGES TO THESE TERMS

We may update these Terms by posting a revised version on this page and changing the “Last updated” date.

Changes apply from the date they are published. The Terms in effect when an order was placed will continue to govern that order unless applicable law requires otherwise.

  1. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Shipping Policy, Return and Refund Policy and any order-specific agreement, constitute the agreement between the customer and Velnorae concerning use of the website and purchases from us.
